Terms of Service

1. Acceptance of terms

By accessing or using the Stratagium platform ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. Use of the Service by anyone under 18 years of age, or under the legal age of majority in their jurisdiction, is not permitted.

2. Nature of the service

Stratagium provides automated trade execution software that connects to your broker account via an API and executes trades according to programmed strategies and your configured risk parameters. Stratagium is a technology platform only. It does not:

• Hold, custody, or manage your funds
• Provide financial product advice or investment recommendations
• Guarantee any level of return or protection from losses
• Act as a financial services provider, broker, or fund manager

3. Risk acknowledgement

You acknowledge that you have read and understood the Risk Disclosure. You understand that automated trading involves substantial risk of loss and that past performance does not guarantee future results. You confirm that you are only allocating capital you can afford to lose entirely.

4. Eligibility

You must be a sophisticated or wholesale investor as defined under applicable law in your jurisdiction, or otherwise able to demonstrate that you understand the risks of leveraged trading and automated execution systems. Stratagium may refuse or revoke access at its discretion.

5. Your responsibilities

• You are responsible for all trading activity that occurs through your connected broker account
• You are responsible for setting and reviewing your risk parameters regularly
• You are responsible for maintaining the security of your portal account credentials
• You must not attempt to reverse-engineer, copy, or redistribute any part of the platform or its algorithms
• You must not use the platform in a jurisdiction where doing so is unlawful
• You must not attempt to circumvent any security, access control, or rate limiting measure

6. Intellectual property

All software, algorithms, models, strategies, data pipelines, execution logic, and documentation forming part of the Stratagium platform are the exclusive intellectual property of Stratagium. No licence to this intellectual property is granted by use of the Service. You may not copy, reproduce, decompile, reverse-engineer, or create derivative works from any part of the platform.

7. Data and credentials

You grant Stratagium permission to store and use your broker API credentials solely for the purpose of executing trades on your behalf. Your credentials are encrypted at rest. You acknowledge that while Stratagium takes reasonable security measures, no system is immune to all security risks. You should revoke your API token from your broker immediately if you suspect unauthorised access.

8. Limitation of liability

To the maximum extent permitted by applicable law, Stratagium and its operators will not be liable for: (a) trading losses of any kind; (b) losses resulting from software failures, data feed errors, or connectivity issues; (c) indirect, consequential, or incidental losses; or (d) any loss exceeding the amount you paid for the Service in the preceding 12 months. Some jurisdictions do not allow limitation of liability; in such jurisdictions, liability is limited to the minimum permitted by law.

9. Indemnification

You agree to indemnify and hold harmless Stratagium and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, breach of these Terms, or violation of any law or third-party rights.

10. Termination

Either party may terminate access to the Service at any time. Stratagium may suspend or terminate your access without notice if it reasonably believes you have breached these Terms or are using the Service in a manner that poses a security or legal risk. On termination, Sections 6, 8, and 9 survive.

11. Modifications

Stratagium may update these Terms at any time. Material changes will be communicated to registered users by email at least 14 days before taking effect. Continued use of the Service constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
